Terms of Service
Sovereign is operated by JML Distributing LLC, a New York limited liability company ("Sovereign," "we," "us"). These Terms govern your access to and use of Sovereign, including the application process, payment, the 30-day program, and any associated portal, mentorship, or content. By applying, paying, or participating, you agree to these Terms.
1. What Sovereign is
Sovereign is a 30-day operator program covering six majors: Trading, Ecommerce, Software, Coding, Content, and AI. Students choose one major (and optionally one minor) and receive daily structure, mentor access, and curriculum for 30 consecutive days.
2. Eligibility
To enroll, you must:
- Be at least 18 years old.
- Be legally able to enter into binding contracts in your jurisdiction.
- Submit a truthful application.
- Be approved by Sovereign. We reserve the right to decline applications at our sole discretion.
3. Payment
The program fee is stated on the pay portal at the time of enrollment. Payment is processed by Stripe and may be made via card, bank debit, BNPL, or other methods Sovereign enables. By paying, you authorize the charge in full.
Financing options (Affirm, Klarna, Afterpay, etc.) are agreements between you and the financing provider. Sovereign is not party to those agreements.
4. Refunds
All refunds are governed by the Refund Policy, which is incorporated into these Terms by reference. The 2× performance guarantee is the sole refund mechanism. Sovereign is otherwise non-refundable.
4A. Success Fee & Post-Success Business Support
The Sovereign program uses two independent revenue thresholds during the 30-day program window:
- Pass Threshold ($2,000+): If you cross this threshold and complete the program in good standing, you have "passed" the program. A 5% Success Fee on your Net Collected Revenue is owed for the program window plus the 90 days following, with an early-buyout option.
- 5-Figure Milestone ($10,000+): If you also cross this threshold, you become eligible for Post-Success Business Support — Sovereign covers up to $1,500 in business-formation expenses (LLC filing fee, operating-agreement template or reimbursement, EIN guidance).
If you don't cross the Pass Threshold, no Success Fee is owed and no Business Support is disbursed. The Refund Policy governs your refund eligibility in that case.
The full terms — including the Net Collected Revenue definition (which deducts refunds, chargebacks, processor fees, sales tax, and direct cost of goods sold for physical-inventory ventures), buyout formula, reporting obligations, and dispute resolution — are set forth in the Success Fee & Business Support Agreement, a separate binding contract Sovereign provides to enrolled Operators.
Sovereign does not provide legal, tax, accounting, or financial advice. You are encouraged to retain independent professionals for advice on your specific situation.
5. Your commitments
As a Sovereign student you agree to:
- Show up daily and complete check-ins.
- Attend scheduled mentor calls.
- Do the work assigned in your major.
- Report honestly. No fabricated check-ins, no falsified revenue claims, no AI-generated busywork passed as your own work.
- Treat your mentor, cohort, and Sovereign staff with respect.
- Not share access to your portal, materials, or mentor calls with anyone outside the program.
6. Intellectual property
All program materials — curriculum, frameworks, lessons, recordings, the portal interface, custom tools — are Sovereign's intellectual property. You may use them for your own learning during and after the program. You may not redistribute, resell, repackage, or publicly reproduce them. Screenshots for personal social media are fine; teaching them as your own framework is not.
Work product you create during the program (your trades, your store, your code, your content) belongs to you.
7. No financial advice
Sovereign teaches operator skills including trading, ecommerce, and business operations. None of this is personalized financial, legal, tax, or investment advice. Trading futures, options, and other instruments carries substantial risk of loss. Ecommerce, software, and content businesses can fail. Results vary by individual effort, market conditions, skill, and luck.
You are solely responsible for your own decisions, capital, and outcomes. Sovereign and its mentors are not liable for losses you incur from acting on program content.
8. Results and earnings disclaimer
The 2× performance guarantee defines a specific contractual floor under the conditions stated in the Refund Policy. It is not a promise that every student will hit five figures, nor a guarantee of any specific revenue or income outcome beyond the guaranteed floor. Marketing language describing typical or aspirational outcomes (e.g. "most students hit 5 figures") reflects general observation, not a predictive guarantee for any individual student.
9. Account and access
You will receive access to a private portal. You are responsible for keeping your access credentials confidential. Sovereign may suspend or revoke access for violations of these Terms, including but not limited to dishonest reporting, abuse of mentors, sharing of materials, or chargebacks.
10. Privacy
Sovereign collects only the data needed to operate the program: your application, contact info, payment status, check-in data, and program-related communications. We do not sell your data. We use Stripe for payments and Resend (or equivalent) for email. We do not store your card details.
11. Communications
By enrolling you consent to receive program-related emails, including transactional emails (payment confirmations, daily prompts, mentor messages) and occasional cohort announcements. You can opt out of non-essential communications by replying STOP or contacting us.
12. Termination
Sovereign may terminate your enrollment without refund (subject to the Refund Policy) if you:
- Violate these Terms.
- Submit fabricated or falsified data.
- Engage in harassment, abuse, or harmful behavior toward staff, mentors, or cohort members.
- Share or resell program materials.
- File a chargeback contrary to the Refund Policy.
You may withdraw from the program at any time, but withdrawal forfeits the performance guarantee.
13. Limitation of liability
To the maximum extent permitted by law, Sovereign's total liability for any claim arising out of or relating to these Terms or the program is limited to the amount you paid for the program. Sovereign is not liable for indirect, incidental, consequential, or special damages, including but not limited to lost profits, lost data, trading losses, or business interruption.
14. Indemnification
You agree to indemnify and hold harmless Sovereign (operated by JML Distributing LLC), its members, officers, and mentors, from any claims arising out of your actions during or after the program, including but not limited to trading losses, business decisions, content you publish, or legal/tax consequences of activities you undertake.
15. Governing law and disputes
These Terms are governed by the laws of the State of New York, United States. Disputes will first be addressed through good-faith communication. Unresolved disputes will be settled by binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to participate in a class action against Sovereign.
16. Changes to these Terms
Sovereign may update these Terms. Material changes apply to enrollments after the change date. Continued use of program materials after a change constitutes acceptance of the updated Terms.
17. Severability
If any part of these Terms is found unenforceable, the rest remains in effect.
